1 Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you (the "Client" or "User") and Azilytics Insights, a market research and consulting firm headquartered at Noida, Uttar Pradesh, India 201301, operated under the leadership of CEO & Founder Azhaan Khan.

2 Our Services

Azilytics Insights provides a range of market research and consulting services, including but not limited to:

• Quantitative and qualitative market research studies
• Consumer insights and sentiment analysis
• Competitive intelligence and industry benchmarking
• Business strategy consulting and advisory services
• Data analytics, visualization, and reporting
• Online and offline survey design and fieldwork
• Focus groups, in-depth interviews, and ethnographic research

The specific scope, deliverables, timelines, and fees for each engagement are defined in a separate Statement of Work (SOW) or project agreement, which forms part of these Terms.

3 Eligibility

Our services are available to businesses, organizations, and individuals who:

• Are at least 18 years of age or have the legal authority to enter into contracts
• Are not located in jurisdictions where our services are prohibited by law
• Provide accurate and complete information when engaging with us
• Have a legitimate business or research purpose for using our services

We reserve the right to refuse service to anyone at our sole discretion, including where we believe the intended use violates these Terms or applicable law.

4 Accounts & Access

Where access to our digital platforms or client portals is provided, you agree to:

• Maintain the confidentiality of your login credentials
• Notify us immediately of any unauthorized access or security breach
• Not share account access with unauthorized third parties
• Take responsibility for all activities conducted under your account
• Provide accurate and up-to-date account information

We reserve the right to suspend or terminate accounts that violate these Terms or engage in suspicious activity.

5 Intellectual Property

Our Intellectual Property: The Azilytics Insights name, logo, website content, methodologies, research frameworks, proprietary tools, and all related materials are the exclusive property of Azilytics Insights and are protected by applicable intellectual property laws.

Deliverables: Research reports and deliverables commissioned by a client are provided for that client's exclusive use. Unless otherwise agreed in writing:

• Clients may use deliverables for internal business purposes only
• Reports may not be resold, redistributed, or published publicly without written consent
• Azilytics Insights retains all underlying methodological IP, data collection instruments, and analytical frameworks
• Clients may not reverse-engineer our methodologies or proprietary tools

6 Confidentiality

Both parties acknowledge they may share confidential information during an engagement. Each party agrees to:

• Keep confidential information strictly private and secure
• Not disclose confidential information to third parties without prior written consent
• Use confidential information only for the purposes of the project
• Return or destroy confidential materials upon request or project completion

Research participant data and individual survey responses are held in strict confidence and will never be disclosed to clients at an individual level. All published findings present aggregated, anonymized data.

7 Acceptable Use

You agree not to use our services, website, or deliverables for any of the following:

• Any unlawful, fraudulent, or deceptive purpose
• Harassment, discrimination, or harm against individuals or groups
• Unauthorized data collection, scraping, or automated access to our platforms
• Circumventing security measures or accessing restricted areas
• Spreading misinformation or manipulating research outcomes
• Violating the privacy or rights of research participants
• Competing directly using our proprietary methodologies without authorization

Violation of acceptable use standards may result in immediate termination of services and legal action where appropriate.

8 Fees & Payment

Fees for services are as outlined in the project agreement or SOW. Unless otherwise specified:

• A 50% deposit is required before project commencement
• The remaining balance is due upon delivery of final deliverables
• Invoices are payable within 30 days of issuance
• Late payments may attract interest at 1.5% per month on the outstanding amount
• All fees are in Indian Rupees (INR) unless otherwise agreed
• Taxes (including GST) are additional where applicable

Scope changes requested after project commencement may result in additional fees, which will be agreed in writing before implementation.

9 Limitation of Liability

To the maximum extent permitted by applicable law, Azilytics Insights shall not be liable for:

• Indirect, incidental, consequential, or punitive damages
• Loss of profits, revenue, business opportunities, or goodwill
• Business decisions made based on our research findings
• Third-party actions or data sources outside our control
• Service interruptions caused by force majeure events

Research findings represent our professional analysis based on available data and may not be used as the sole basis for critical business decisions. Clients are advised to consider research in conjunction with other professional advice.

10 Indemnification

You agree to indemnify, defend, and hold harmless Azilytics Insights, its officers, employees, and agents from any claims, damages, losses, liabilities, or expenses (including legal fees) arising from:

• Your breach of these Terms
• Your misuse of our services or deliverables
• Your violation of any third-party rights or applicable laws
• False or misleading information provided to us

11 Termination

By Client: Clients may terminate a project engagement with 14 days' written notice. Fees for work completed to date and non-recoverable costs incurred are payable upon termination.

By Azilytics Insights: We may terminate services immediately if you breach these Terms, fail to make payment, or engage in conduct that compromises the integrity of our research or the safety of our team.

Upon termination, all confidentiality and intellectual property obligations continue to apply. Deliverables completed prior to termination will be provided subject to payment of amounts due.

12 Dispute Resolution

In the event of any dispute arising from these Terms or our services, the parties agree to:

• Negotiation: First attempt to resolve the dispute amicably through good-faith discussion within 30 days
• Mediation: If negotiation fails, pursue mediation with a mutually agreed mediator
• Arbitration: If mediation fails, disputes shall be submitted to binding arbitration in Noida, Uttar Pradesh, India

These Terms are governed by the laws of India. The courts of Noida, Uttar Pradesh shall have exclusive jurisdiction over any matters not resolved through arbitration.

13 General Provisions

• Entire Agreement: These Terms, together with any project agreement or SOW, constitute the entire agreement between the parties.
• Severability: If any provision is found unenforceable, remaining provisions continue in full effect.
• Waiver: Failure to enforce any right does not constitute a waiver of that right.
• Assignment: You may not assign your rights or obligations under these Terms without our prior written consent.
• Amendments: We may update these Terms with 30 days' notice. Continued use of our services constitutes acceptance.
